Terms of Service for PeroChat
Chapter 1. General Provisions
Article 1. Purpose
These Terms are intended to define the conditions, procedures, rights, obligations, and responsibilities governing the use of PeroChat and all related services (collectively, the "Service") operated by PersonaXI (the "Company").
Article 2. Definitions
- Member: A person who enters into a service agreement under these Terms and uses the Service.
- Neuron: Virtual data credits purchased to use paid functions within the Service.
- Persona: A collection of AI character settings and assets created by a Member.
- User-Generated Content (UGC): All Personas, chat records, and other content created by a Member through the Service.
Article 3. Effectiveness and Amendment of the Terms
- The Company shall make these Terms easily accessible to Members by posting them on the Service.
- If the Company amends these Terms, it shall notify Members at least 7 days before the effective date of the amendment, or 30 days in advance if the amendment is unfavorable to Members. If a Member continues to use the Service after the effective date, the Member shall be deemed to have agreed to the amendment.
Chapter 2. Membership Management
Article 4. Registration
- Members may apply to register through Google or Kakao social login.
- The Company may reject a registration request in any of the following cases:
- The applicant used another person's information.
- Required information was provided inaccurately at the time of registration.
- The application was made from a country where the Company does not currently provide the Service.
- The applicant is under 14 years of age and applied without the consent of a legal guardian.
- Registration is completed when the Company approves the application and the Service is launched on the applicant's device.
Article 5. Withdrawal
- A Member may request account deletion at any time through the settings screen within the Service or by contacting support@personaxi.com.
- After a withdrawal request is made, the Company shall process the withdrawal within 5 business days and notify the Member when processing is complete.
- Upon withdrawal, the Member's personal information and service usage data shall be handled in accordance with the Privacy Policy. However, information that must be retained under applicable laws shall be retained for the required period.
- After withdrawal, the Member may no longer log in with that account, and all remaining Neurons and Creator Contribution shall be forfeited immediately.
Chapter 3. Use of the Service and Obligations
Article 6. Member Obligations and Prohibited Conduct
- Members shall not engage in any of the following acts:
- Creating or using a Persona by impersonating or defaming a real person.
- Creating or distributing illegal content, including obscene material or sexual exploitation material involving minors.
- Using automated tools such as bots to call the Service API without authorization or to impose excessive load on the servers.
- Collecting, storing, or using another person's personal information without authorization.
- Infringing the copyrights or other intellectual property rights of the Company or third parties.
- Interfering with the stable operation of the Service.
- Members shall comply with applicable laws and these Terms while using the Service.
Article 7. Fair Use Policy and Account Restrictions
- Fair Use Policy (FUP): If a Member's usage significantly exceeds the system average or abnormal usage patterns are detected, the Company may temporarily or permanently restrict that account to ensure stable service operation.
- Restriction Procedure: If the Company restricts a Member's account, it shall notify the Member of the reason by email (support@personaxi.com). However, where there is an immediate security risk, the Company may impose the restriction first and notify the Member afterward.
- Appeal: A Member may submit an appeal to support@personaxi.com within 14 days from the date of notice. The Company shall review the appeal and notify the Member of the result within 10 business days after receipt.
- If no appeal is filed within the appeal period, the restriction shall become final.
Article 8. Copyright and Use of Content
- Copyright in UGC posted or created by a Member within the Service belongs to that Member.
- The Member grants the Company a worldwide, royalty-free, non-exclusive license to use the UGC, including reproduction, display, distribution, and editing, solely for the purposes of operating, improving, promoting, and carrying out related promotions for the Service. This license remains valid after the Member withdraws, within the scope of those purposes. However, content directly deleted by the Member is excluded from such use.
- If the Company intends to use UGC for purposes other than those set forth in Paragraph 1, it shall obtain separate consent.
- GDPR Exception: If an EU data subject requests deletion of relevant content pursuant to Article 17 of the GDPR, the Company shall delete that content in accordance with its legal obligations, and the license under Paragraph 2 shall terminate with respect to that content. However, if retention is required by law, the content shall be retained for the applicable retention period.
Chapter 4. Minor Protection Policy
Article 9. Measures for the Protection of Minors
- The Company implements blocking and management measures against harmful information so that minors may grow into healthy members of society.
- In accordance with global standards, the Company verifies whether the legal guardian of a child under the age of 14 has given consent, and may refuse registration if such consent is not obtained.
- The Company operates technical filtering systems to prevent AI-generated responses from containing content harmful to minors, and harmful information shall be removed immediately upon discovery.

Chapter 5. Paid Services and Refunds
Article 11. Purchase of Neurons and Provision of Service
- Members may purchase "Neurons" through the designated payment gateway.
- Timing of Service Provision: Once the Company approves the completed purchase, the purchased Neurons shall be credited to the Member's account immediately and may be used at once.
- Refund Policy:
- A refund is available only within 7 days of purchase and only if not a single unit of Neuron has been used.
- Partial refunds are not provided due to the nature of digital content.
- Refund requests shall be submitted to support@personaxi.com, and the Company shall process them within 5 to 10 business days from the date of request.
- Extinctive Prescription:
- Paid Neurons may expire under the applicable commercial-law prescription period if one year has elapsed from the date of purchase.
- Free Creator Contribution and promotional credits may expire according to the notice period set by the Company, which shall be at least 30 days.
Article 12. Right of Withdrawal
- In accordance with the Electronic Commerce Act and applicable laws, Members may withdraw from the contract within 7 days from the start date of the provision of goods or services.
- However, due to the nature of digital content, withdrawal may be restricted for goods that have already been used after provision began.
Article 13. Payment and Taxes
- For overseas payments, the final charged amount may differ depending on country-specific tax rates such as VAT and currency exchange rates.
- The payment processor serves as the Merchant of Record and handles the related tax administration. Detailed tax information is displayed on the payment page and receipt.
Article 14. Refund of Paid Credits upon Suspension or Closure of the Service
- If the Company closes or long-term suspends the Service for business reasons, it shall notify Members at least 30 days before the suspension date.
- During the notice period, the remaining balance of paid Neurons held by the Member shall be refunded based on the original payment amount.
- Free Creator Contribution and promotional credits are excluded from refund.
Chapter 6. Creator Contribution
Article 15. Earning and Use of Points
- Members may earn "Creator Contribution" when others use the Personas they created or as compensation for activities within the Service.
- Earned points are managed solely as an internal metric reflecting creative contribution, and conversion into Neurons is not currently supported.
- The accrual method and terms of use for points may be changed under the Company's service operation policies, and the Company shall provide advance notice within the Service.
Article 16. Nature of Points and Prohibition on Cash Conversion
- "Creator Contribution" is free property provided to encourage participation in the Service and may not, under any circumstances, be refunded in cash, withdrawn, or sold or transferred to a third party for value.
- The Company does not guarantee the cash-refundability of such points, and if a Member is found attempting to convert points into cash, the points may be confiscated and the use of the account may be restricted.
Article 17. Expiration and Processing of Points
- If a Member voluntarily withdraws or an account is deleted due to a violation of these Terms, all held Creator Contribution shall expire immediately and shall not be restored.
- If the Company suspends the Service, including the point system, for business reasons, it shall provide at least 30 days' notice, and the points may automatically expire in accordance with the announced policy.
Chapter 7. Youth Protection and Sensitive Content Policy
Article 18. Youth Protection and Sensitive Content Operation Policy
- Definition of Sensitive Content: "Sensitive Content" means content that requires age restriction, including adult-oriented expressions, violence, and socially controversial elements, only within a lawful scope that does not violate applicable laws. Illegal content such as child sexual exploitation material and illegal recordings never constitutes Sensitive Content and is strictly prohibited from being generated or distributed through the Service.
- Age Verification and Authentication: A Member who wishes to use functions in the age-restricted tier (19+) involving Sensitive Content or to change the Safety Filter setting must verify that they are an adult through real-name-based identity verification such as mobile phone identity confirmation. Access by minor accounts is structurally blocked, and if forged authentication or identity theft is discovered, the account shall be permanently suspended immediately. The Company shall retain age verification data and access logs for at least 6 months in accordance with applicable rules.
- Filter Level Settings and User Responsibility: A Member who has completed adult verification may, based on explicit consent and voluntary intent, change the Safety Filter setting to relax access restrictions on Sensitive Content. This function does not merely serve as an unlawful bypass of blocking policies; rather, it is an optional access right provided according to age rating within a self-regulated youth protection framework, and the user may re-enable it at any time. However, if a user circumvents access using a VPN or intentionally leaks, redistributes, or spreads accessible Sensitive Content externally through crawling or similar means, that user shall bear all legal responsibility arising therefrom.
- Platform Management Obligations and Technical Measures: The Company does not merely claim blanket immunity and shall take the following measures to prevent the circulation of illegal and harmful information:
- AI Pre/Post Classification System: The Company operates an automated keyword filtering system at the AI model level that continuously blocks the generation of illegal content such as child exploitation material and deepfakes.
- Reporting and Immediate Action: Harmful information shall be immediately blinded, internally reviewed, and deleted upon discovery or receipt of a report.
- Sanctions and Compliance Obligations: If attempts to forcibly bypass the filter, including so-called jailbreak prompts, are detected, the Company may suspend the account and IP under a cumulative three-strike policy and shall fulfill its obligation to submit retained data and logs upon lawful request from government authorities.
Chapter 8. Disclaimer and Miscellaneous
Article 19. Disclaimer
- The Company does not guarantee the accuracy of AI-generated outputs. Members shall verify the suitability of such outputs using their own judgment before relying on them.
- The Company shall not be liable for service interruptions caused by factors beyond its control, including outages of LLM providers such as Google or force majeure.
Article 20. Dispute Resolution and Customer Support
- If a Member encounters any issue related to the use of the Service, the Member may contact support@personaxi.com.
- The Company shall review disputes and complaints within 5 to 10 business days from receipt and provide the result.
- If a payment-related dispute is not resolved through the above procedure, the Member may refer the matter to consumer dispute mediation bodies or similar institutions.
Article 21. Governing Law and Jurisdiction
These Terms shall be governed by and interpreted in accordance with the laws of the Republic of Korea, and disputes arising in connection with use of the Service shall be subject to the agreed jurisdiction of the court having jurisdiction over the location of the Company's principal office.
